Record label contracts — what musicians need to understand before signing

Assignment vs licence, recoupment, 360 deals, reversion — educational overview, not legal advice. Always use a music solicitor for a real deal.

This page is educational, not legal advice. Label deals can provide capital and reach; they also bind you for years. Always have a music solicitor review a real agreement before you sign.

Assignment or licence?

Assignment transfers master ownership to the label; you typically keep a royalty only. A licence keeps ownership with you and grants exploitation for a defined period. Long-tail income from sync and catalogue behaves very differently under each structure.

Recoupment

Advances and agreed costs are often recouped from your royalty share first. Until recoupment completes, you may see no royalties even when the label earns from your masters. Check what is recoupable — recording, marketing, videos, personal advance.

Clauses to understand

  • Term and options — who holds renewal rights and for how many releases
  • Royalty bases — net receipts vs retail definitions
  • 360-style provisions extending commission beyond masters
  • Reversion — when rights can return if the label does not release or exploit
  • Territory — worldwide vs limited

What independents can build without a label

Distribution, promo, sync-ready catalogues in Vault, and professional contracts exist without giving up masters. Whether a label is worth it depends on whether its specific offer outweighs what you give up — which requires understanding these clauses first.

Before you sign

Budget for a solicitor. TYFRA documents and signs the deal you have negotiated; Learnea can help you read clauses; neither replaces professional advice on a significant commercial contract.
